These Terms of Service (“Terms”) govern your access to and use of Tooner AI (“we”, “us”, or “our”), including our website, mobile applications, and related features (collectively, the “Service”).

By accessing or using the Service, creating an account, purchasing credits or a subscription, or otherwise interacting with the Service, you agree to be bound by these Terms and by our Privacy Policy.

If you do not agree to these Terms, do not use the Service.

Tooner AI provides AI-powered tools that let you create, edit, and transform photos and videos, including templates, effects, batch generation, and related features.

We may change, suspend, or discontinue any part of the Service at any time, including features, templates, credit pricing, or availability of third-party processing providers.

The Service may rely on third-party AI and cloud infrastructure to fulfill generation requests. Output quality, speed, and availability can vary.

You must be able to form a binding contract under applicable law to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.

You agree to provide accurate account information and to keep it up to date.

Some features require credits, a paid plan, or other purchases. Credit balances, plan limits, renewals, and pricing are shown in the Service at the time of purchase or use.

• Credits and subscriptions are generally non-refundable except where required by law or explicitly stated by us or the applicable app store / payment provider.
• Unused credits may expire according to the terms shown at purchase or in your account.
• Taxes, currency conversion, and billing are handled by the relevant payment processor or store (for example, Apple, Google, or our payment provider).
• We may adjust pricing or credit costs; changes apply going forward and will be reflected in the Service.

If a payment fails, is charged back, or is disputed, we may suspend access to paid features until the issue is resolved.

You agree not to use the Service to:

• Violate any law, regulation, or third-party right (including privacy, publicity, and intellectual property rights).
• Upload or generate illegal, harmful, abusive, hateful, exploitative, or sexually explicit content involving minors.
• Impersonate others, create deepfakes or misleading content intended to deceive, defraud, or cause harm.
• Attempt to reverse engineer, scrape, overload, disrupt, or gain unauthorized access to the Service or related systems.
• Use the Service to train competing AI models or to systematically extract outputs for that purpose without our prior written consent.
• Circumvent usage limits, credit systems, or security controls.

We may investigate violations and suspend or terminate accounts that breach these Terms.

“User Content” means photos, videos, prompts, text, and other materials you upload or submit to the Service.

You retain ownership of your User Content. You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display User Content solely as needed to operate and improve the Service and to fulfill your requests (including sending content to third-party processors when required for generation).

You represent that you have all rights needed to upload User Content and to grant the license above, and that your User Content does not infringe others’ rights.

Face-related content is processed only to fulfill your generation requests, as described in our Privacy Policy. We do not sell your personal data.

Subject to these Terms and applicable law, and between you and us, you may use outputs generated for you through the Service for personal or commercial purposes, unless a specific template, feature, or third-party provider states otherwise.

AI outputs can be inaccurate, unexpected, or similar to content generated for others. You are solely responsible for reviewing outputs before use and for how you share or publish them.

We do not guarantee that any output is unique, error-free, or free of third-party claims. If a provider’s terms apply to a particular generation workflow, those terms may also affect your rights in the output.

The Service, including software, branding, UI, templates, documentation, and related materials (excluding your User Content), is owned by us or our licensors and is protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose under these Terms. No other rights are granted.

The Service may integrate with or depend on third parties (authentication, payments, analytics, cloud AI providers, and similar). Their terms and privacy policies apply to their services. We are not responsible for third-party services we do not control.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that outputs will meet your expectations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM OR (B) USD $50, EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

You agree to indemnify and hold harmless Tooner AI and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your breach of these Terms.

You may stop using the Service at any time. You may request account or data deletion as described in the Service and our Privacy Policy.

We may suspend or terminate access if you breach these Terms, if required by law, or if needed to protect the Service, other users, or third parties. Upon termination, your right to use the Service ends, and provisions that by nature should survive will survive.

We may update these Terms from time to time. The “Last updated” date at the top will change when we do. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.

These Terms are the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
